class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>En sociedades solventes y con liquidez, no es extra\u00f1o que los socios recurran para que les presten dinero, evitando as\u00ed solicitar un pr\u00e9stamo bancario. La misma ley prev\u00e9 esta posibilidad, si bien establece una serie de reglas, ya que existe un conflicto entre los intereses del socio (lograr el pr\u00e9stamo) y los de la sociedad (que debe poder decidir libremente \u2013sin intervenci\u00f3n de este socio \u2013 si otorgar el pr\u00e9stamo o no). Estas reglas son:<\/p><ul><li>El socio interesado en recibir el dinero debe abstenerse de votar.<\/li><li>Sus participaciones deben deducirse a efectos del c\u00f3mputo de mayor\u00edas. Por ejemplo, si el socio que solicita el pr\u00e9stamo tiene el 20% del capital, el 80% restante ser\u00e1, a efectos de este acuerdo, el 100% del capital. A partir de este 100% deber\u00e1 calcularse si el pr\u00e9stamo ha sido autorizado por la mayor\u00eda.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ae48ed7 elementor-widget elementor-widget-text-editor\" data-id=\"ae48ed7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Obligaciones del administrador<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-86ab9d1 elementor-widget elementor-widget-text-editor\" data-id=\"86ab9d1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Tras la petici\u00f3n del socio, el administrador debe convocar una junta para acordar la autorizaci\u00f3n del pr\u00e9stamo o no. En la misma convocatoria deber\u00e1 advertir sobre la situaci\u00f3n de conflicto de inter\u00e9s con este socio y su deber de abstenerse de votar, si bien este socio conservar\u00e1 el resto de sus derechos y podr\u00e1 votar con total normalidad al resto de los puntos del orden del d\u00eda en los que no exista conflicto.<\/p><p>Por otra parte, ya efectos de que el resto de socios puedan debatir correctamente este punto del orden del d\u00eda, ser\u00e1 conveniente solicitar a este socio informaci\u00f3n clara y precisa de lo que necesita, as\u00ed como una propuesta de devoluci\u00f3n. Adem\u00e1s, pueden preverse otros pactos m\u00e1s concretos seg\u00fan la cuant\u00eda del pr\u00e9stamo.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-669174e elementor-widget elementor-widget-text-editor\" data-id=\"669174e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Incumplimiento del deber de abstenci\u00f3n del socio<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b855861 elementor-widget elementor-widget-text-editor\" data-id=\"b855861\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Aunque la ley no prev\u00e9 una consecuencia concreta en estos casos, el voto se considera indebidamente emitido y, por tanto, nulo. Pero esto no implica que el acuerdo sea directamente nulo: s\u00f3lo lo ser\u00e1 cuando el voto de ese socio haya sido determinante para alcanzar la mayor\u00eda necesaria para adoptar el acuerdo. Es decir, cuando el resultado de la votaci\u00f3n hubiera sido distinto si no hubiera votado a este socio.<\/p><p>Adem\u00e1s, si un socio disidente impugna el acuerdo por haberse vulnerado el deber de abstenci\u00f3n, quien deber\u00e1 responder es el administrador \u2013para ejecutar un acuerdo nulo\u2013, no los socios que lo adoptaron. Por otra parte, hay que tener en cuenta que podr\u00edan darse otras responsabilidades:<\/p><ul><li>Obligaci\u00f3n del socio de indemnizar a la sociedad (por ejemplo, los gastos de una junta nueva).<\/li><li>Responsabilidad del presidente ante la sociedad o el socio cuando permita o deniegue el voto de forma negligente.<\/li><li>Acciones sociales e individuales de responsabilidad si el socio infractor tambi\u00e9n es administrador.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-339a4c2d elementor-widget
