class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Todos los miembros tienen derecho a examinar la documentaci\u00f3n relativa a los puntos del orden del d\u00eda a tratar en una reuni\u00f3n, as\u00ed como a solicitar informaci\u00f3n adicional. Y los consejeros est\u00e1n obligados a proporcionar estos derechos, ya que sirven para que el socio tome una decisi\u00f3n informada a la hora de votar.<\/p><ul><li>Los administradores podr\u00e1n negarse a facilitar la informaci\u00f3n solicitada cuando, a su discreci\u00f3n, consideren que darla perjudica los intereses sociales, salvo que as\u00ed lo requieran socios que representen al menos el 25% del capital social (en este caso no podr\u00e1n denegarlo).<\/li><\/ul><ul><li>Si el administrador considera que el socio hace un uso abusivo de su derecho a la informaci\u00f3n, puede negarse a facilitarla, aunque el solicitante (o grupo de solicitantes) llegue al 25% de participaci\u00f3n.<\/li><\/ul><ul><li>Sea cual sea el porcentaje de participaci\u00f3n del solicitante, la negativa debe justificarse; por ejemplo, porque se quiere proteger el know-how o porque el socio desarrolla una actividad en competencia con la empresa o se encuentra en situaci\u00f3n de conflicto de intereses.<\/li><\/ul><p>La existencia de abuso de derechos por parte del socio ser\u00e1 analizada en \u00faltima instancia por los tribunales. V\u00e9anse algunos casos en los que han considerado que se ha producido esta circunstancia:<\/p><ul><li>Es abusivo que el accionista retrase deliberadamente la solicitud de informaci\u00f3n hasta el momento de la reuni\u00f3n cuando ni siquiera ha acudido al domicilio social para examinarla.<\/li><\/ul><ul><li>No se vulnerar\u00e1 el derecho de informaci\u00f3n del socio cuando \u00e9ste sea tambi\u00e9n administrador. Dado que \u00e9ste est\u00e1 obligado a conocer la marcha social, tiene acceso directo a la informaci\u00f3n<i>,<\/i>\u00a0y no tiene sentido que ejerza ese derecho en su condici\u00f3n de socio.<\/li><\/ul><ul><li>Los administradores no est\u00e1n obligados a producir documentos que no existen \u2013informes, por ejemplo\u2013 para que se soliciten en el ejercicio del derecho a la informaci\u00f3n. Tambi\u00e9n es abusivo solicitar informaci\u00f3n muy voluminosa con muy poco tiempo de antelaci\u00f3n o si existen medios alternativos para obtenerla.<\/li><\/ul><ul><li>El derecho a la informaci\u00f3n no se infringe si el socio que la pide compite con la empresa (esto perjudicar\u00eda el inter\u00e9s social).<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div
