class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Las formalidades de constituci\u00f3n de una sociedad concluyen cuando se inscribe en el Registro Mercantil correspondiente. Sin embargo, despu\u00e9s de la firma ante notario y la consiguiente liquidaci\u00f3n de los impuestos correspondientes, una vez inscrita la escritura en el Registro, la inscripci\u00f3n definitiva puede retrasarse en el tiempo (si se observa alg\u00fan defecto en la escritura que requiera correcci\u00f3n, por ejemplo). Sin embargo, esto no impide que la empresa pueda empezar a operar; de hecho, muchas empresas comienzan antes de que finalice el proceso de registro.<\/p><p>En este contexto, es importante recordar que, si transcurre un a\u00f1o desde la fecha de la escritura de constituci\u00f3n sin que la sociedad haya sido registrada, \u00e9sta se convierte en irregular. Y esto tiene consecuencias:<\/p><ul><li><em>Responsabilidad<\/em>. Lo m\u00e1s importante es que los socios son responsables de las deudas contra\u00eddas por la sociedad durante este per\u00edodo (solidariamente entre ellas y subsidiariamente con ella). Y eso aunque acabe registr\u00e1ndose m\u00e1s tarde.<\/li><\/ul><ul><li><em>Contratos<\/em>. Mientras tradicionalmente los tribunales consideraban nulos los contratos suscritos por empresas irregulares, hoy se consideran v\u00e1lidos y vinculantes para salvaguardar los derechos de terceros acreedores.<\/li><\/ul><p>No obstante lo anterior, en el caso de SA o SL, transcurrido un a\u00f1o sin que la sociedad est\u00e9 inscrita, cualquier accionista podr\u00e1 solicitar la disoluci\u00f3n ante el juez y exigir, tras la liquidaci\u00f3n del patrimonio de la sociedad, la restituci\u00f3n de sus aportaciones. En este caso, este socio dejar\u00e1 de ser responsable de las deudas sociales en las que haya incurrido a partir de la denuncia. Eso s\u00ed: si se han producido p\u00e9rdidas, ya no podr\u00e1 recuperarse completamente su aportaci\u00f3n. En consecuencia, es importante controlar el proceso de registro y, ante cualquier impedimento, tomar las medidas oportunas en el plazo de un a\u00f1o desde la constituci\u00f3n para evitar que la sociedad se convierta en irregular.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-339a4c2d elementor-widget elementor-widget-text-editor\"
